Commercial Terms

1. The rates for the Coaching Services (“Rates”) are determined by the Coaches and the Coaching Companies and published in their Profiles.
2. The Coaches and the Coaching Companies have the right to update their Rates from time to time, provided that (i) they will send a written notice to all Coachees to whom they provide Coaching Services at the date of the update; (ii) the updated Rates shall be effective 30 days following such written notice; and (iii) the updated Rates shall not apply to any Coaching Services purchased prior to the update.
3. Coacher reserves the right, at any time and from time to time, in its sole discretion, to set minimum and maximum Rates and to set additional rules related to Rates and payments.

1. Coacher will collect the fees payable for the Coaching Services provided to you by the Coach in accordance with the Rates set forth by such Coach (“Coachee Payments”).
2. All Coachee Payments must be made in advance before the provision of the Coaching Services to you.
3. Coacher will hold the collected Coachee Payments until all the Coaching Services that were paid for by the Coachee are provided to you.

1. You can use Coacher's services or the Platform to schedule your meetings with the Coach.
2. You and the Coach can request to re-schedule any scheduled meetings subject to the cancellation and re-scheduling policy of the Coach, our Cancellation Policy, the Terms, and any applicable Law.
3. Any request to reschedule a meeting that is not made in accordance with the provisions of Section 3.2 above, will be subject to the agreement of you and the Coach.

Any scheduled meeting that is not attended by a Coach or a Coachee within eight (8) minutes after the scheduled time shall be deemed a missed meeting and the following provisions shall apply:

1. In the event that the Coachee missed the meeting, and the Coach attended the meeting, the Coachee shall be charged in full for the meeting (unless the Coach agrees to waive the fees).
2. In the event that the Coach missed the meeting, the Coachee shall be entitled to a rescheduled meeting, without any additional charge.

1. You shall determine the rates for the Coaching Services (“Rates”) and publish the Rates in your Profile.
2. You shall have the right to update the Rates from time to time, provided that (i) you will send a written notice to all Coachees to whom you provide Coaching Services at the date of the update; (ii) the updated Rates shall be effective 30 days following such written notice; and (iii) the updated Rates shall not apply to any Coaching Services purchased prior to the update.

1. For a Coachee who was referred to you via the Platform or as a service (“Matched Coaching”), Coacher shall deduct a standard commission from any amounts payable to you by the Coachee.
2. The Fees are exclusive of taxes. Coacher does not collect taxes it is not required to collect, but it may be required by applicable law to collect certain taxes or levies, including income tax or VAT (which some jurisdictions refer to as GST or local sales taxes). These collection requirements and rates may change based on the law in your area. Any amount Coacher is required to collect or withhold for the payment of any such taxes shall be collected in addition to the Fees.
3. The Fees (excluding taxes or VAT) are as follows:

   Fees for Matched Coaching

   Commission on Matched Coaching	8.75% of Coach's rate, rounded up to the nearest US dollar.	Coacher deducts the Commission from the total payment received from the Coachee, then trasnfering the remaining amount to the Coach.	If a Coach's single session rate is $100, the total transaction amount will be $109.

1. Coacher will collect from the Coachee the fees payable for the Coaching Services provided by you in accordance with your Rates (“Coachee Payments”).
2. All Coachee Payments must be made in advance, before the provision of the Coaching Services to the Coachee. Coacher will collect the Coachee Payments transferred by the Coachee in accordance with your Rates and notify you after the payments are collected.
3. Coacher will hold the collected Coachee Payments until all the Coaching Services that were paid for by the Coachee are provided by you.
4. After the provision of the Coaching Services to the Coachee, Coacher will transfer the collected Coachee Payments, after deducting the Fees, to the bank account that shall be designated in your Account. You are responsible to provide Coacher or its third-party payment vendor with accurate information about your bank account and to update such information when necessary.

1. You can use the Platform to schedule your meetings with the Coachee.
2. You and the Coachee can request to re-schedule any scheduled meetings subject to your cancellation and re-scheduling policy, our Cancellation Policy, the Terms, and any applicable Law.
3. Any request to reschedule a meeting that is not made in accordance with the provisions of Section 4.2 above, will be subject to the agreement of the Coach and the Coachee.
